Terms of Service

Established 2025-07-01 Revised 2026-05-01

Article 1 (Scope)

The purpose of these Terms is to set forth the conditions for the provision of the Service and the rights and obligations between us and Registered Users in connection with the use of the Service. These Terms apply to all relationships between Registered Users and us relating to the use of the Service.

2 The Service is provided by basicmath Inc. ("we", "us" or "our") and consists of the sale of licenses to software products designated by us (the "Software") and of license management after purchase, including the issuance of license keys, activation, verification of operating status and the distribution of updates.

3 Rules concerning the use of the Service and the Software that we post on our website (including the Software documentation, system requirements and the license conditions of each plan) constitute a part of these Terms.

4 If the contents of these Terms differ from the rules referred to in the preceding paragraph or from any other explanation of the Service given outside these Terms, these Terms prevail unless it is expressly provided that the application of these Terms is excluded.

Article 3 (Registration)

A person who wishes to use the Service and purchase a license to the Software (an "Applicant") may apply to us for registration by agreeing to comply with these Terms and providing us with the registration information designated by us in the manner designated by us.

2 We determine whether to accept the registration in accordance with our own criteria and, where we accept it, notify the Applicant to that effect. Registration is completed upon such notice.

3 The Service Agreement is formed between the Registered User and us upon completion of the registration referred to in the preceding paragraph.

4 We may refuse registration if the Applicant falls under any of the following items, and we bear no obligation whatsoever to disclose the reason therefor.

  • (1) where the registration information contains a falsehood, error or omission
  • (2) where the Applicant is a minor, an adult ward, a person under curatorship or a person under assistance and has not obtained the consent of a statutory agent, guardian, curator or assistant
  • (3) where the internal procedures necessary for concluding the agreement have not been lawfully and properly completed
  • (4) where we reasonably determine that the Applicant is, or is involved with, anti-social forces
  • (5) where we reasonably determine that the Applicant is a person who has breached an agreement with us in the past, or a related party thereof
  • (6) where the Applicant has previously been subject to cancellation of registration or similar measures under Article 18
  • (7) where we otherwise reasonably determine that registration is not appropriate

Article 4 (Changes to Registration Information)

If there is any change to the registration information, the Registered User notifies us without delay in the manner designated by us.

2 We are not liable for any damage incurred by the Registered User as a result of a failure to give the notice referred to in the preceding paragraph.

Article 5 (Management of Authentication Credentials)

We may grant Registered Users a user ID, password and other information for authentication purposes (the "Authentication Credentials") for the use of the Service.

2 The Registered User manages and stores its Authentication Credentials appropriately at its own responsibility, and must not allow any third party to use them, or lend, transfer, change the name on, sell or otherwise dispose of them.

3 Any use of the Service after authentication by means of Authentication Credentials is deemed to be use by the Registered User holding those Authentication Credentials.

4 The Registered User bears responsibility for any damage arising from insufficient management, errors in use, or use by a third party of the Authentication Credentials.

Article 6 (Scope of the License to the Software)

Subject to the Registered User having paid the price of the Initial License in full (or, for a Free License, having completed registration) and complying with these Terms, we grant the Registered User a non-exclusive right to use the Software for its own business or operations, within the scope set forth in these Terms.

2 The Initial License is a one-time purchase, and the Registered User may use the Software without a fixed term, except where the license terminates through rescission, cancellation of registration or otherwise under these Terms. However, a valid Maintenance License under Article 9 is required in order to receive updates of the Software, except that a Free License is governed by Article 9-2.

3 The Licensed Account Count and other conditions of a license are determined according to the following plans. Details are as set out on our website and in the application.

  • (1) Community: a plan that we provide as a Free License
  • (2) Multi: a flat-priced plan that includes multiple licensed accounts
  • (3) Agency Edition: a flat-priced plan that includes more licensed accounts than Multi, together with features for agencies
  • (4) Enterprise: a plan provided on the basis of an individual quotation and individually agreed conditions

4 The Registered User may not transfer, lend, sublicense, pledge or otherwise dispose of the license, the license key or the Software to any third party without our prior written consent.

5 All rights in the Software other than those expressly granted under these Terms are reserved to us.

Article 7 (License Keys and Activation)

After confirming payment of the license price (or, for a Free License, after registration is complete), we issue a license key to the Registered User. The Registered User may use the Software by activating it with the license key.

2 The Registered User must not use the Software in excess of the Licensed Account Count. If use exceeding the Licensed Account Count becomes necessary, the Registered User must purchase additional licenses in advance in the manner designated by us.

3 The Registered User must not disclose, share, lend, transfer or sell the license key to any third party, and must not allow it to be used in common by more than one entity.

4 The Software communicates periodically with our license management server in order to verify the validity of the license and compliance with the licensed scope. The information transmitted in such communication is limited to the license key, activation identification information, the version of the Software, operating status and other information necessary for license management, and does not include Input or Output.

5 The Registered User must not obstruct, alter or circumvent the communication referred to in the preceding paragraph. If any such act is found, we may invalidate the license key without prior notice.

6 Where re-activation becomes necessary due to migration of the Customer Environment or for any other reason, the Registered User performs deactivation and re-registration in the manner designated by us.

Article 8 (Prohibition of Reproduction, Modification and Similar Acts)

Except where expressly permitted by law or where we have given prior written consent, the Registered User must not perform any of the following acts.

  • (1) reproducing all or part of the Software (excluding the scope reasonably necessary for operation in the Customer Environment and for backup purposes)
  • (2) modifying or adapting all or part of the Software, or creating derivative works thereof
  • (3) reverse engineering, decompiling or disassembling the Software, or otherwise analyzing its source code, algorithms, models or system structure, and assisting any such act
  • (4) removing or altering any copyright notice, trademark or other notice of rights affixed to the Software
  • (5) redistributing, lending, selling, transmitting to the public or sublicensing the Software to any third party (except as permitted under Article 13)
  • (6) circumventing, disabling or altering the license authentication function, use-restriction function or any other technical protection measure of the Software

2 If we suffer damage as a result of a breach of the preceding paragraph, the Registered User must compensate us for such damage (including reasonable attorneys' fees).

Article 9 (Maintenance License)

The Maintenance License grants the Registered User the right to receive updates of the Software that we provide during its valid period (including the addition and improvement of functions, bug fixes and security fixes).

2 The price of the Maintenance License for the first year is included in the price of the Initial License, and its valid period is one year from the date of purchase of the Initial License.

3 Purchase of the Maintenance License for the second and subsequent years is optional. The Registered User may purchase it at the price and in the manner shown on our website.

4 Even after the valid period of the Maintenance License has expired, the Registered User may continue to use the version of the Software provided to it as at the time of expiry. However, it may not receive updates that we provide thereafter.

5 Where the Maintenance License is purchased again after its valid period has expired, we may set conditions for re-enrollment corresponding to the lapsed period (including payment of the fees for the period during which no Maintenance License was held), as set out on our website.

6 The Maintenance License grants the right to receive updates and does not automatically include the provision of individual technical support, implementation assistance, customization or other services. Whether and to what extent such services are provided is determined by our website or by separate agreement.

7 We do not guarantee the timing, contents or frequency of updates.

Article 9-2 (Free License)

We provide the Software under a Free License without charging the price of an Initial License or a Maintenance License. Article 9 does not apply to a Free License.

2 As with an Initial License, a Free License grants the right to use the Software without a fixed term, except where the license terminates through rescission, cancellation of registration or otherwise under these Terms, and its Licensed Account Count and other conditions are determined according to the plan.

3 Receipt of updates under a Free License does not depend on a Maintenance License; it is conditional on the registration of the Registered User remaining valid and on the Registered User complying with these Terms.

4 To verify the condition in the preceding paragraph, the Software carries out the communication referred to in Article 7, Paragraph 4 on a periodic basis. Receipt of updates stops if the period designated by us (as shown on our website) has passed since our last verification. Even in that case, the Registered User may continue to use the version of the Software provided to it at that time. Where the registration is cancelled or the license is invalidated, Article 18 applies.

5 We may change the conditions on which a Free License is provided, or discontinue it. Article 19 applies in that case.

Article 10 (Fees, Payment and Refunds)

The Registered User pays the fees shown on our website as consideration for the Initial License and the Maintenance License, by the payment method designated by us. Payment methods include credit card payment using the payment services provided by Stripe or other payment service providers, and the Registered User complies with the terms of use established by such providers.

2 If the Registered User delays payment, it pays us late payment damages at the rate of 14.6% per annum.

3 The Software is digital content, and we are deemed to have completed provision at the time we issue the license key or make the Software available for download. Except as otherwise provided by law or in these Terms, we bear no obligation to refund any consideration paid, for any reason whatsoever.

4 Taxes and public dues, remittance charges and other costs not included in the displayed price are borne by the Registered User.

5 Where automatic renewal is set for the Maintenance License, the Registered User may cancel the automatic renewal by the day before the renewal date in the manner designated by us. No refund is made for cancellation after the renewal date has passed.

Article 11 (Operation in the Customer Environment and Allocation of Responsibility)

The Software operates in the Customer Environment that the Registered User prepares and manages itself. We neither provide nor operate the Customer Environment.

2 The construction, configuration, maintenance, monitoring, backup and security of the Customer Environment, and all costs required therefor, are the responsibility and at the expense of the Registered User.

3 Operation of the Software may require the use of APIs, generative AI services, cloud services and other services provided by third parties (the "External Services"). The conclusion of agreements relating to External Services, compliance with their terms of use, management of credentials and payment of costs are carried out by the Registered User at its own responsibility.

4 We are not liable for any non-operation or restriction of functions of the Software, loss or leakage of data, or costs incurred, arising from the Customer Environment or the External Services. The same applies where all or part of the Software becomes unusable due to a change in the specifications or terms of provision of an External Service, or the termination thereof.

5 We are not liable for defects or damage arising from use of the Software in an environment that does not satisfy the system requirements set out on our website.

Article 12 (Prohibited Acts)

In using the Service and the Software, the Registered User must not perform any of the following acts.

  • (1) using the Service or the Software in violation of laws and regulations or in a manner connected with criminal activity
  • (2) using the Service or the Software for a purpose contrary to public order and morals
  • (3) using in the Software any content for which the necessary rights and permissions have not been obtained
  • (4) using the Service or the Software in a manner that infringes the Intellectual Property Rights, portrait rights, privacy, reputation or other rights or interests of us or a third party
  • (5) using the Service or the Software in a manner that causes disadvantage, damage or discomfort to us or a third party
  • (6) providing benefits to, or otherwise cooperating with, anti-social forces
  • (7) generating Output containing excessively obscene expressions
  • (8) imposing an excessive load on our license management server, network or systems
  • (9) using the Software in excess of the Licensed Account Count, or sharing a license key or Authentication Credentials with a third party
  • (10) reproducing, modifying, lending, selling, redistributing or sublicensing the Software or the Service
  • (11) discovering, reverse engineering, decompiling or otherwise analyzing the algorithms, models, systems or source code of the Software or the Service, and assisting any such act
  • (12) representing in relation to Output that generative AI has not been used or that it was created by a human
  • (13) using Output, by distillation or otherwise, to develop a competing generative AI model or software competing with the Software
  • (14) circumventing restrictions on use (such as license authentication, API rate limits and safety management measures), and assisting any such act
  • (15) attempting unauthorized access to our systems, and assisting any such act
  • (16) any act that is likely to interfere with the operation of the Service
  • (17) using the Authentication Credentials or license key of another Registered User
  • (18) transmitting information containing excessively violent or cruel expressions, computer viruses, defamatory expressions, obscene expressions, expressions promoting discrimination, expressions encouraging suicide or self-harm, expressions encouraging the improper use of drugs, anti-social expressions or other expressions causing discomfort to others
  • (19) any act contrary to the rules posted on our website
  • (20) any act that directly or indirectly causes or facilitates any of the preceding items, or any attempt to do so
  • (21) any other act that we reasonably determine to be inappropriate

Article 13 (Permitted Use by Authorized Users and End Users)

A Corporate User may allow Authorized Users to use the Software and the Service within the Licensed Account Count, on condition that it imposes on them obligations equivalent to those under these Terms. A breach of these Terms by an Authorized User is deemed a breach by the Corporate User, and the Corporate User bears all responsibility therefor.

2 A Corporate User must take necessary measures, such as conducting training and establishing guidelines, and must manage and supervise its Authorized Users.

3 Only where it has entered into a separate written agreement with us (such as a reseller partner agreement) may a Corporate User implement or operate the Software for its customers or other third parties (the "End Users"), or provide the functions of the Software incorporated into its own services.

4 In the case of the preceding paragraph, the Corporate User must impose on End Users obligations equivalent to or stricter than those under these Terms, and must obtain and maintain the necessary consents (including consent that we may suspend use in the event of a breach). A license key and Authentication Credentials may be made available to a single End User only.

5 A Corporate User must not permit End Users to perform acts that are not permitted under these Terms. Any act of an End User contrary to these Terms is deemed a breach by the Corporate User.

6 We do not compensate for any damage arising where we suspend or interrupt use pursuant to this Article.

Article 14 (Prohibition of High-Risk Purposes and Duty to Disclose Use of Generative AI)

A Corporate User must not use the Software for the purpose of consulting on, answering, explaining, advising on, announcing, publishing, implementing or otherwise handling matters that may have a legal or material effect on third parties in connection with credit, education, employment, housing, insurance, legal matters, medical care, news reporting or other fields relating to important decisions or public affairs ("High-Risk Purposes"). This does not apply where both of the following are satisfied: (i) the Output is checked in advance by an expert in the relevant field and is used in an auxiliary manner after obtaining appropriate advice; and (ii) it is explicitly and accurately explained that generative AI is used and that inaccuracies and similar issues exist by its nature.

2 An Individual User must not use the Software for High-Risk Purposes under any circumstances.

3 Where a Registered User uses the Software for any of the following purposes, it must explicitly and accurately explain to third parties that generative AI is used and that, by its nature, Output may contain inaccuracies.

  • (1) provision of a chatbot service that answers questions and the like
  • (2) provision of an interactive agent
  • (3) provision of a service that may be used by minors
  • (4) the purposes stated in the rules posted on our website

Article 15 (Verification of License Usage)

In order to confirm that a Registered User is complying with these Terms and the license conditions, we may at any time verify and investigate the usage status of the license (meaning the number and status of activations, the number of accounts in use against the Licensed Account Count, the version of the Software, records of communication with the license management server and the like). The Registered User consents to this in advance and must cooperate to a reasonable extent.

2 The verification and investigation referred to in the preceding paragraph are limited to the usage status of the license and to the registration information and purchase information. Because the Software operates in the Customer Environment, we neither check nor are able to check the contents of Input and Output.

3 We may, as necessary, request a Registered User to report the number of accounts in use, the operating environment and other matters relating to the usage status of the license, and the Registered User must respond without delay.

4 If use exceeding the licensed scope is discovered, we may charge fees corresponding to the excess use, or take the measures set forth in Article 18.

Article 16 (Suspension of the Service)

We may suspend or interrupt the provision of all or part of the Service without prior notice to Registered Users in any of the following cases.

  • (1) where periodic or urgent inspection or maintenance work on the facilities for the Service is carried out
  • (2) where provision of the Service becomes difficult due to failure of computers or telecommunication lines, operational error, excessive concentration of access, unauthorized access, hacking or the like
  • (3) where provision of the Service becomes difficult due to earthquake, lightning, fire, wind and flood damage, power failure, natural disaster or other force majeure
  • (4) where we otherwise determine that suspension or interruption is necessary

2 Suspension or interruption of the Service may temporarily prevent the issuance of license keys, activation and the distribution of updates. We may refund part of the Maintenance License fees in accordance with criteria separately established by us, according to the period of suspension or interruption.

3 Except in the case of the preceding paragraph, we do not compensate for any damage incurred by a Registered User or a third party as a result of the suspension or interruption of the Service.

Article 17 (Ownership of Rights and Handling of Data)

All Intellectual Property Rights relating to the Software, our website and the Service belong to us or to those who license them to us, and the grant of a license under these Terms does not constitute permission to use the Intellectual Property Rights of us or of those who license them to us beyond the scope expressly set forth in these Terms.

2 The Software operates in the Customer Environment, and Input, Output and other data processed in the Software remain under the control of the Registered User. We do not access, obtain or use such data for the training of generative AI models or for any other purpose.

3 The information we obtain in connection with the Service is limited to registration information, information relating to purchases and payments, and license operating information (the status of activation, the version of the Software and the like).

4 The Registered User represents and warrants that it holds lawful rights in respect of Input and that Input does not infringe the rights of any third party.

5 Rights relating to Output belong to, or may be used by, the Registered User to the extent permitted by applicable laws and regulations. However, we do not warrant that any rights arise in respect of Output or that Output does not infringe the rights of third parties.

Article 18 (Cancellation of Registration and Withdrawal)

If a Registered User falls under any of the following items, we may, without prior notice or demand, invalidate the license key, deactivate the activation, temporarily suspend use of the Service, cancel the registration or take any other necessary measures.

  • (1) where the Registered User has breached any provision of these Terms
  • (2) where it becomes clear that the registration information contains false facts
  • (3) where use exceeding the Licensed Account Count, improper sharing of a license key or other use contrary to the license conditions is discovered
  • (4) where payment of fees is delayed or settlement is not completed
  • (5) where the Registered User suspends payment or becomes unable to pay, or a petition is filed for the commencement of bankruptcy, civil rehabilitation, corporate reorganization or special liquidation proceedings or similar proceedings
  • (6) where the Service has not been used at all for one year or more
  • (7) where there is no response to our communications for ten days or more
  • (8) where the Registered User falls under any item of Article 3, Paragraph 4
  • (9) where we otherwise reasonably determine that it is not appropriate for the use of the Service or the registration to continue

2 If a Registered User falls under any item of the preceding paragraph, it automatically loses the benefit of time in respect of all obligations owed to us and must immediately pay them.

3 If registration is cancelled, the license to the Software terminates, and the Registered User must immediately cease using the Software and delete the Software and any copies thereof from the Customer Environment.

4 A Registered User may withdraw from the Service and cancel its own registration by completing the procedures designated by us. After withdrawal, the Registered User can no longer receive updates, perform activation or use other license management functions.

5 If a Registered User has obligations owed to us at the time of withdrawal, it automatically loses the benefit of time and must immediately pay them.

6 We do not compensate for any damage incurred by a Registered User as a result of the measures under this Article or of withdrawal. Consideration already paid is not refunded.

7 The handling of user information after withdrawal is governed by our privacy policy.

Article 19 (Changes to and Termination of the Service)

We may change the contents of the Service or the Software, or terminate the provision thereof, at our own discretion.

2 If we terminate the provision of the Service, we notify Registered Users in advance.

3 In the case of the preceding paragraph, we endeavor to take reasonably possible measures, such as making license authentication unnecessary, so that Registered Users may continue to use the Software under Initial Licenses that have already been activated.

Article 20 (Disclaimer of Warranties and Limitation of Liability)

We make no warranty whatsoever, express or implied, that the Software or the Service is fit for any particular purpose of a Registered User, that it has the functions, accuracy or usefulness expected, that it will be continuously available, that no defects will occur, or that it conforms to laws and regulations or to the internal rules of industry organizations.

2 Because the Software uses generative AI, we make no warranty whatsoever as to the accuracy, non-infringement or usefulness of Output.

3 The Registered User agrees to use the Software with the recognition and understanding that Output may not be accurate.

4 The Registered User agrees to use the Software with the recognition and understanding that Output must not be treated as the sole source of truth or fact, and must not be used as a substitute for professional advice.

5 The Registered User agrees to use the Software with the recognition and understanding that, when using or sharing Output, it needs to investigate and confirm the accuracy thereof by means other than the Software as necessary, and to judge and evaluate whether it is appropriate.

6 We compensate damage incurred by a Registered User only to the extent set forth in the following items. However, with respect to Corporate Users, we bear no liability whatsoever unless we have acted with intent or gross negligence.

  • (1) in the case of our intent or gross negligence: the full amount of such damage
  • (2) in the case of our slight negligence: within the scope of ordinary damage actually and directly incurred (excluding special damage, lost profits, indirect damage and attorneys' fees), and subject to a cap of JPY 10,000

7 Notwithstanding the preceding paragraph, the scope in which we compensate damages incurred by a Registered User in respect of the Software provided under a Free License is as set out in the following items. However, for Corporate Users, we bear no liability whatsoever unless we have acted intentionally or with gross negligence.

  • (1) Where we have acted intentionally or with gross negligence: the full amount of such damages
  • (2) Where we have acted with slight negligence: within the scope of ordinary damages actually and directly incurred (excluding special damages, lost profits, indirect damages and attorneys' fees), up to a maximum of JPY 1,000

Article 21 (Confidentiality and Handling of User Information)

The Registered User treats as confidential any non-public information disclosed by us with a request that it be treated as confidential, except where our prior written consent has been obtained.

2 The handling of user information is governed by the privacy policy separately established by us, and the Registered User consents thereto.

3 We may use and publish, at our discretion, information provided by Registered Users and license operating information as statistical information in a form that does not identify any individual or corporation, and Registered Users raise no objection thereto.

Article 22 (Amendment of these Terms)

We may amend these Terms from time to time pursuant to Article 548-4 of the Civil Code in any of the following cases.

  • (1) where the amendment conforms to the general interests of Registered Users
  • (2) where the amendment is not contrary to the purpose of the Service Agreement and is reasonable in light of the necessity for the amendment, the appropriateness of the amended contents and other circumstances relating to the amendment

2 When making an amendment under the preceding paragraph, we determine the time at which the amended Terms take effect and, at least two weeks prior to that time, make the contents of the amended Terms and the effective time known by notice to Registered Users, by display on the Service or by any other method designated by us.

Article 23 (Contact and Notices)

Inquiries and other communications or notices from Registered Users to us concerning the Service and the Software, and notices of amendments to these Terms and other communications or notices from us to Registered Users, are made in the manner designated by us.

2 Where we send a communication or notice to the email address or other contact details included in the registration information, the Registered User is deemed to have received such communication or notice.

Article 24 (Assignment of Status under the Service Agreement)

The Registered User may not assign, transfer, pledge or otherwise dispose of its status under the Service Agreement or its rights and obligations under these Terms to any third party without our prior written consent.

2 If we transfer the business relating to the Service to another company, we may, in connection with such business transfer, assign to the transferee our status under the Service Agreement, our rights and obligations under these Terms, the registration information and other customer information, and Registered Users consent thereto in advance. Business transfers under this paragraph include company splits and all other cases in which a business is transferred.

Article 25 (Exclusion of Anti-Social Forces)

The Registered User represents and covenants to us the following matters.

  • (1) that it is not an anti-social force (meaning an organized crime group, a company related to an organized crime group, a corporate racketeer or a person equivalent thereto, or a member thereof)
  • (2) that its officers are not anti-social forces
  • (3) that it does not conclude the Service Agreement by allowing an anti-social force to use its name
  • (4) that it does not, by itself or through a third party, engage in threatening behavior or violence, or obstruct our business or damage our credit by fraudulent means or force

2 If it becomes clear that the Registered User has breached the covenants in the preceding paragraph, we may rescind the Service Agreement and terminate the license without any demand.

3 If the agreement is rescinded pursuant to the preceding paragraph, the Registered User must compensate us for all damage suffered by us (including reasonable attorneys' fees).

4 The Registered User makes no claim whatsoever against us for damage incurred by it as a result of the rescission under Paragraph 2.

Article 26 (Severability)

Even if any provision or part of a provision of these Terms is held invalid or unenforceable under laws and regulations, the remaining provisions of these Terms and the remaining part of any provision held partly invalid or unenforceable continue in full force and effect.

Article 27 (Governing Law and Jurisdiction)

These Terms and the Service Agreement are governed by and construed in accordance with the laws of Japan.

2 If a dispute arises between us and a Registered User concerning these Terms, the Service or the Software and litigation becomes necessary, the Tokyo District Court has exclusive jurisdiction in the first instance by agreement.

3 The Japanese version of these Terms is the authoritative text. Any translation into English or another language that we provide is for reference only, and in the event of any discrepancy with the Japanese version, the Japanese version prevails.
